The Delaware issuer began as PowerDirect, Inc. Later names included 2U Online.com, several Golden Spirit identities, Terralene Fuels Corporation, and Golden Star Enterprises Ltd.
The company changed from Golden Spirit Gaming Ltd. to Golden Spirit Enterprises Ltd.; the public symbol changed to GSPT.
The company completed another name and capital restructuring and became Golden Star Enterprises Ltd.
The FINRA OTC Daily List records a reverse split and CUSIP change under GSPT, effective August 12, 2016. The temporary symbol GSPTD returned to GSPT on September 8, 2016.
GSPT acquired the Wyoming food-tech company from Benny Doro for 84,000,000 pre-2024-split restricted shares. Benny Doro and Mark Wright joined the board, and the filing records a change of control.
He assumed the titles of CEO, President, Secretary, and Treasurer.
The Delaware name was changed, but FINRA did not approve the corporate action. The issuer returned to Golden Star Enterprises Ltd. in December 2023.
The board and majority stockholders approved the Food Culture Inc. name and a 1-for-150 reverse split.
The legal issuer name changed while the market action continued toward completion.
FINRA announced completion. The interim symbol GSPTD reflected the split during the transition.
The market identity completed its transition from GSPT to FCUL.
Later filings use this date to classify the food subsidiary as discontinued operations.
FCUL surrendered its 100% interest and retained no continuing involvement in the ready-to-eat meal business.
Benny Doro, Mark Wright, and Louis Shefsky resigned. Ruben Yakubov became the sole officer and director. The filing also records 750,000 restricted FCUL shares issued to Benny Doro for services and a C$10,000 payment upon departure.
FCUL agreed to acquire Booze in a Box Inc., operating as Distill Brands International, from BIAB Holdings Inc.
FCUL became the legal acquirer; DBI was treated as the accounting acquirer in a reverse recapitalization. Paul Neelin became CEO and a director on November 5, 2025.
FCUL reported 45,089,630 common shares outstanding, DBI as its sole subsidiary, no continuing-operations revenue, and substantial going-concern doubt.

Corporate filings and original archive documents independently place Benny Doro inside the transaction.
The February 2023 acquisition transferred Super Fresh to GSPT, issued 84,000,000 restricted shares to Benny Doro, added him to the board, and effected a change of control. A VStock statement dated April 25, 2023 records the 84,000,000-share restricted balance.
The filing records appointment as sole officer on March 31, 2023. An OTC user-change form dated July 2023 identifies Benny Doro as CEO, while an original board resolution also appoints him CEO and President.
A June 2023 demand note identifies Golden Star as borrower and Benny Doro as signatory. The broader financing record remains under documentary review and is not summarized beyond the recovered instruments.
Operating chapter
The issuer, subsidiary, operating contractor, and brand are related—but they are not interchangeable legal entities.
Super Fresh Foods, Inc. was the Wyoming subsidiary acquired by GSPT. Its meal-subscription operations were carried out through a subcontract with All Your Foods, a company controlled by Benny Doro, delivering under the All Your Meals brand.
In 2025 FCUL transferred Super Fresh back to Benny Doro and reported that it retained no continuing involvement in the ready-to-eat meal business. The filing establishes the divestiture. It does not, by itself, establish the legal structure of the subsequent Florida transaction.
Replacement direction
On September 19, 2025, FCUL signed a Share Exchange Agreement with BIAB Holdings Inc. for 100% of Booze in a Box Inc., operating as Distill Brands International. FCUL issued 18,000,000 shares to BIAB on September 30, and the transaction closed in October.
The accounting is important: FCUL remained the legal acquirer, but DBI was treated as the accounting acquirer in a reverse recapitalization. By March 31, 2026, the company described its continuing business as the development, marketing, and distribution of spirits, wine, and ready-to-drink products.
