A cellular-technology business entered the issuer in 2011.

The issuer was incorporated in Nevada in 2009. On April 20, 2011, a wholly owned acquisition subsidiary acquired substantially all assets and liabilities of ACS Global in exchange for 21,000,000 common shares.

At closing, ACS Global became the majority shareholder. John Arnone became Chief Executive Officer and President; Anthony F. Dudzinski became Chief Operating Officer, Treasurer, and Secretary; both joined the board.

A contemporaneous private placement sold 1,860,000 common shares at $0.50 for $930,000 in gross proceeds.

These are filed corporate events. Benny Doro's ownership is independently documented by an original July 15, 2013 certificate. His advisory responsibilities and the later Antigua work remain separately classified by evidence type.
